Terms of Service

1. Acceptance of Terms

By accessing or using KOL X (the "Service") at kolx.syncofy.ai, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.

2. Description of Service

KOL X is a B2B SaaS platform operated by Syncofy LLC that aggregates publicly available data to provide Key Opinion Leader (KOL) intelligence for pharmaceutical, biotech, and medical affairs teams. The platform synthesizes information from public government and academic data sources—including the Centers for Medicare & Medicaid Services (CMS) Open Payments database, the National Plan and Provider Enumeration System (NPPES), PubMed, and ClinicalTrials.gov—to surface physician publication records, clinical trial participation, prescribing patterns, and industry payment disclosures. No proprietary or private medical data is collected or displayed.

3. Authorized Use and User Obligations

You may use the Service solely for your organization's internal medical affairs, market access, or commercial strategy purposes. You agree not to: (a) scrape, crawl, or systematically download data from the platform beyond normal application use; (b) resell, sublicense, or redistribute data obtained from the Service to third parties; (c) use the Service to build a competing product or benchmarking service; (d) attempt to reverse engineer or extract the underlying data pipeline, algorithms, or scoring models; or (e) use the Service in any manner that violates applicable law or the terms of the underlying public data sources.

4. Data Sources

KOL X aggregates data exclusively from publicly available government and academic sources, including: CMS Open Payments (physician industry payment disclosures), NPPES (National Provider Identifier registry), PubMed (biomedical literature indexed by the National Library of Medicine), and ClinicalTrials.gov (federally registered clinical trials). All underlying data is released to the public by federal agencies or academic institutions. Syncofy adds proprietary scoring, normalization, and analytical layers on top of these sources.

5. Payment Terms

Access to the Service requires a paid subscription or one-time report purchase, as described at the time of checkout. All fees are charged in U.S. dollars and are non-refundable except at Syncofy's sole discretion. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Syncofy reserves the right to change pricing with 30 days' notice to active subscribers. Failure to pay may result in suspension or termination of access.

6. Intellectual Property

Syncofy LLC owns all rights, title, and interest in the KOL X platform, including its software, user interface, scoring models, and any proprietary analytical methodologies. The underlying public data (CMS, NPPES, PubMed, ClinicalTrials.gov) is sourced from government agencies and remains in the public domain. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service. You may not copy, modify, or create derivative works of any part of the platform without Syncofy's prior written consent.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. SYNCOFY LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SYNCOFY DOES NOT WARRANT THAT THE DATA IS COMPLETE, ACCURATE, OR UP TO DATE, AS IT DEPENDS ON THE TIMELINESS AND ACCURACY OF THE UNDERLYING PUBLIC DATA SOURCES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNCOFY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF SYNCOFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL SYNCOFY'S TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California.

10. Changes to Terms

Syncofy reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date above and, where appropriate, by emailing active subscribers. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
